MotoGP: Liberty Media, owner of F1, to acquire Dorna Sports (86% stake) for €4.2bn

Carmelo Ezpeleta, CEO of Dorna Sports since 1994, will continue to run the company, which is headquartered in Madrid (ESP).

In detail, Liberty Media will acquire 86% of Dorna Sports, 65% of which will be acquired through equity and 21% through the sale of FWONK shares (Formula One Group shares). The Spanish company's directors (including Carmelo Ezpeleta) retain 14% of their stake.

The acquisition values Dorna Sports at €3.5bn after deducting the company's debts. Under the terms of the agreement, "Dorna Sports will remain an independently run company attributed to Liberty Media’s Formula One Group tracking stock," said MotoGP. The deal, which is still subject to regulatory approval in several jurisdictions, is expected to be completed by the end of 2024.

British investment fund Bridgepoint acquired Dorna Sports, the promoter of MotoGP as well as WorldSBK and MotoE, for between €500m and €550m in 2006, before selling a 38% stake to Canadian institutional investment fund CPPIB in 2012. Bridgepoint now holds around 40% of Dorna Sports, according to specialised media reports. The remaining 22% is divided between Carmelo Ezpeleta (10%), CEO of MotoGP since 1992, and a group of executives (12%).

However, CVC was forced to sell Dorna Sports following a decision by the European Commission on 20/03/2006. Liberty Media became an 18.7% shareholder in the Delta Topco holding company (which owned 100% of Formula One Group) in 2016 before acquiring it in 2017 for $8bn (€7.4bn).
