Carmelo Ezpeleta, CEO of Dorna Sports since 1994, will continue to run the company, which is headquartered in Madrid (ESP).

In detail, Liberty Media will acquire 86% of Dorna Sports, 65% of which will be acquired through equity and 21% through the sale of FWONK shares (Formula One Group shares). The Spanish company's directors (including Carmelo Ezpeleta) retain 14% of their stake.

The acquisition values Dorna Sports at €3.5bn after deducting the company's debts. Under the terms of the agreement, "Dorna Sports will remain an independently run company attributed to Liberty Media’s Formula One Group tracking stock," said MotoGP. The deal, which is still subject to regulatory approval in several jurisdictions, is expected to be completed by the end of 2024.

British investment fund Bridgepoint acquired Dorna Sports, the promoter of MotoGP as well as WorldSBK and MotoE, for between €500m and €550m in 2006, before selling a 38% stake to Canadian institutional investment fund CPPIB in 2012. Bridgepoint now holds around 40% of Dorna Sports, according to specialised media reports. The remaining 22% is divided between Carmelo Ezpeleta (10%), CEO of MotoGP since 1992, and a group of executives (12%).

Liberty Media became an 18.7% shareholder in the Delta Topco holding company (which owned 100% of Formula One Group) in 2016 before acquiring it in 2017 for $8bn (€7.4bn).

"The business has significant upside" (G. Maffei, Liberty Media)

Greg Maffei - ©  Liberty Media

• "We are thrilled to expand our portfolio of leading live sports and entertainment assets with the acquisition of MotoGP.

• MotoGP is a global league with a loyal, enthusiastic fan base, captivating racing and a highly cash flow generative financial profile.

• Carmelo and his management team have built a great sporting spectacle that we can expand to a wider global audience.

• The business has significant upside, and we intend to grow the sport for MotoGP fans, teams, commercial partners and our shareholders."

"MotoGP is the premium opportunity in motorcycle racing"

• "MotoGP is a perfect fit for Liberty Media. MotoGP is the premium opportunity in motorcycle racing which brings the best town in the world combined with the best motorcycle machinery. There are centralised trading rights, which gives control over many things.

• We're going to synthesise what Liberty Media has discovered with F1 and use it to quickly grow the MotoGP fan base. We have had success with Netflix but also by opening F1 on social networks, by bringing the drivers closer to the fans thanks to Twitch, ..."

"22 races is a good number to aim for"

• "We are not going to announce the construction of a new paddock like in Las Vegas (Nevada, USA), and motorcycles cannot go on street circuits. There will therefore be other profiles on which we will have to work with our partners.

• There are currently 12 races in Europe, 9 overseas. 22 races is a good number to aim for, and we will make sure to optimize the balance between the different places we will visit."

Greg Maffei, president & CEO of Liberty Media

"This transaction is a testament to the value of the sport today and its growth potential" (C. Ezpeleta, Dorna Sports)

• Liberty Media has an incredible track record in developing sports assets and we could not wish for a better partner to expand MotoGP's fanbase around the world."

"The USA also represents an opportunity. Liberty has experience that will benefit from in this market"

• "We are racing in Asia for our fan base, which is still growing in the region. There are a lot of places that have a lot of interest in motorcycles.

• Success in Southeast Asia is a guide to growing the sport in South America, where motorcycling is important.

• The USA also represents an opportunity, with a lot of history. The motorcycle also has a certain cultural importance there. Liberty has experience that will benefit from in this market."
